These Terms and Conditions of Use (hereinafter, the "Terms") constitute a legally binding agreement between you, the user (hereinafter, "User," "you," or "your"), and the operators of the website available at www.findyourgoodplace.com (hereinafter, the "Site"). The Site is a human-curated directory of East Asian, Southeast Asian, South Asian, Central Asian, and Pacific Islander-owned businesses, searchable by city, category, and community, intended for access and use globally.

The Site is a collaborative project operated jointly by Terra Verd LLC, a Delaware Limited Liability Company, doing business as Hi From Business Camp (hereinafter, "HFBC"), and Ruoom Inc., a Texas corporation (hereinafter, "Ruoom"), collectively referred to herein as "Company," "we," "us," or "our." HFBC is responsible for the editorial direction, brand, and community operations of the Site. Ruoom is responsible for the technical infrastructure on which the Site operates.

BY ACCESSING OR USING THE SITE, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE PROHIBITED FROM ACCESSING OR USING THE SITE. THESE TERMS APPLY TO ALL USERS OF THE SITE, REGARDLESS OF THE JURISDICTION FROM WHICH THE SITE IS ACCESSED.

Section 1. Definitions

"Site" means the website available at www.findyourgoodplace.com and any associated subdomains or services operated by Company.

"Listing" or "Business Listing" means any business entry submitted for inclusion in and/or published on the Site's directory.

"Submission" means any information, content, or data submitted by a User to the Site, including but not limited to business listing information.

"User" means any individual or entity that accesses or uses the Site in any manner.

"Company" means Terra Verd LLC d/b/a Hi From Business Camp and Ruoom Inc., jointly.

Section 2. Eligibility and User Agreement

By accessing the Site, you represent and warrant that: (a) you are of legal age or legal capacity in your jurisdiction to form a binding contract; (b) you agree to all terms and conditions stated herein; and (c) if you are accessing the Site on behalf of a legal entity, you have the necessary power and authority to bind such entity to these Terms.

You further acknowledge and covenant to abide by and comply with all applicable federal, state, local, and international laws and regulations applicable to your use of the Site. If you do not meet these eligibility requirements, you must not access or use the Site.

Section 3. Use of the Site

The Site is provided for informational and community purposes only. Company hereby grants User a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely in accordance with these Terms.

3.1 No Professional Advice; No Endorsement. All content and Listings on the Site are provided for informational purposes only and do not constitute, and shall not be construed as, professional advice of any kind, including without limitation legal, financial, medical, nutritional, or any other professional or expert advice. Inclusion of any business in the directory does not constitute an endorsement, recommendation, or guarantee of the quality, safety, suitability, or legitimacy of such business or the services or products it provides. Users are solely responsible for conducting their own due diligence prior to engaging with any listed business.

3.2 No Transaction Platform. The Site is a directory and does not facilitate, process, or participate in any booking, reservation, purchase, or other transaction between Users and listed businesses. Any links on the Site to third-party booking, reservation, or transaction platforms are provided solely for the convenience of Users. Company is not a party to any transaction conducted through any such third-party platform and assumes no responsibility or liability in connection therewith.

3.3 Prohibited Conduct. User agrees not to, and shall not permit any third party to: (a) use the Site in any manner that violates applicable local, national, or international law or regulation; (b) use any automated system, including without limitation robots, spiders, scrapers, or data mining tools, to access or extract data from the Site without the prior express written consent of Company; (c) attempt to gain unauthorized access to any portion of the Site or any systems or networks connected to the Site; (d) submit any Listing or information that is false, misleading, defamatory, harassing, or fraudulent; (e) engage in any conduct that restricts or inhibits any other User from using or enjoying the Site; or (f) use the Site for any commercial purpose not expressly authorized in writing by Company.

Section 4. Business Listing Submissions

4.1 Open Submission. The Site permits any person, including but not limited to business owners, patrons, customers, and community members, to submit a business for potential inclusion in the directory. Submissions are accepted from users in any country or territory in which the Site is accessible.

4.2 Review and Approval. All Submissions are subject to review and approval by Company prior to publication on the Site. Company reserves the right, in its sole and absolute discretion, to approve, reject, modify, or remove any Listing at any time and without prior notice or liability to the submitting User.

4.3 User Representations Regarding Submissions. By submitting a Listing, User represents and warrants that: (a) the information submitted is accurate and complete to the best of User's knowledge and belief; (b) the Submission does not contain information that is defamatory, fraudulent, misleading, or otherwise unlawful under the laws of User's jurisdiction or the jurisdiction of Company; and (c) User understands and consents to the review process described herein prior to publication.

4.4 No Obligation to Publish. Submission of a Listing does not create any obligation on the part of Company to publish, maintain, or retain such Listing on the Site.

4.5 Removal of Listings. Any business owner or authorized representative of a listed business may request removal of a Listing by contacting Company at hello[at]findyourgoodplace.com. Company will process removal requests within a reasonable period, not to exceed thirty (30) days from receipt of a valid request. Company additionally reserves the right, in its sole discretion, to remove or mark as inactive any Listing upon receiving credible information from community members or other sources that a listed business has permanently closed, relocated without a forwarding address, or is otherwise no longer operating. User acknowledges that removal of a Listing from the Site does not guarantee removal of such Listing from search engine caches, third-party indexes, or other external sources beyond Company's control.

Section 5. Accuracy of Listing Information

5.1 No Guarantee of Accuracy. Find your good place. is a community-curated directory. Company makes reasonable efforts to review submitted information prior to publication; however, Company does not warrant or represent that any Listing information is accurate, complete, reliable, current, or suitable for any particular purpose. Listing information reflects what was submitted and what was reasonably available at the time of curation. Business information, including but not limited to hours of operation, addresses, contact details, and operational status, is subject to change without notice.

5.2 User Responsibility. Users are solely responsible for independently verifying any Listing information prior to relying upon it, including prior to visiting any listed business. Company expressly encourages Users to confirm details directly with any business before visiting or transacting.

5.3 Disclaimer of Liability for Inaccuracies. COMPANY EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR ERRORS, OMISSIONS, OR INACCURACIES IN LISTING INFORMATION AND FOR ANY LOSS, DAMAGE, OR INCONVENIENCE ARISING FROM OR IN CONNECTION WITH RELIANCE UPON SUCH INFORMATION.

Section 6. Intellectual Property

6.1 Company Intellectual Property. The Site, including without limitation its design, source code, software, text, graphics, logos, and all original content, is the exclusive property of Terra Verd LLC and Ruoom Inc. and is protected by applicable intellectual property laws of the United States and international treaties and conventions. No portion of the Site may be reproduced, distributed, modified, publicly displayed, or used to create derivative works without the prior express written permission of Company.

6.2 Third-Party Intellectual Property. Business names, trademarks, logos, and other identifying marks belonging to businesses listed in the directory remain the sole property of their respective owners. Inclusion of a business in the directory does not constitute any sponsorship, endorsement, or affiliation between such business and Company.

6.3 DMCA Compliance. Company respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA). Claims of copyright infringement may be submitted to hello[at]findyourgoodplace.com with the subject line "DMCA Takedown Request" and must include: (a) identification of the copyrighted work alleged to have been infringed; (b) identification of the material on the Site alleged to be infringing; (c) User's contact information; and (d) a statement, under penalty of perjury, that the information provided is accurate and that User is authorized to act on behalf of the copyright owner.

Section 7. API Access and White Label Licensing

Access to Site data via application programming interface (API), or licensing of the directory infrastructure for white label use by third parties, is available subject to the execution of a separate written licensing agreement with Company. Any unauthorized access to or extraction of Site data through automated means, or any reproduction of the directory or its contents for commercial purposes without an executed license, is strictly prohibited and may subject the violating party to legal liability. This prohibition applies regardless of the jurisdiction from which such unauthorized use occurs.

Section 8. International Use

The Site is intended for global use and is accessible to users worldwide. Company makes no representation that the Site or its content is appropriate, lawful, or available in every jurisdiction. Users who access the Site from outside the United States do so at their own initiative and are solely responsible for compliance with all applicable laws and regulations in their respective jurisdictions. Nothing in these Terms limits Company's ability to comply with lawful government or law enforcement requests in any jurisdiction.

Section 9. Third-Party Links and Content

The Site may contain hyperlinks to third-party websites, including but not limited to business websites, social media profiles, and mapping services. Such links are provided solely for the convenience of Users. Company does not control, endorse, or assume any responsibility for the content, accuracy, privacy practices, or terms of any third-party website. User's access to and use of any third-party website is at User's sole risk and subject to the applicable terms and policies of such third-party website.

Section 10. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, LISTINGS, AND MATERIALS AVAILABLE THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY COMPANY OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Section 11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER TERRA VERD LLC, RUOOM INC., NOR ANY OF THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUCCESSORS SHALL BE LIABLE TO USER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR USER'S USE OF OR INABILITY TO USE THE SITE OR ANY LISTING INFORMATION, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In jurisdictions that do not permit the exclusion or limitation of certain damages, Company's liability shall be limited to the fullest extent permitted by applicable law.

Section 12. Indemnification

User agrees to indemnify, defend, and hold harmless Terra Verd LLC, Ruoom Inc., and their respective affiliates, officers, directors, employees, agents, licensors, and successors (collectively, the "Indemnified Parties") from and against any and all third-party claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or relating to: (a) User's access to or use of the Site; (b) User's Submission of any Listing or other information to the Site; (c) User's violation of any provision of these Terms; (d) User's violation of any applicable law or regulation; or (e) User's infringement of any intellectual property or other right of any third party.

Section 13. Modifications to the Site and Terms

Company reserves the right, in its sole discretion, to modify, suspend, or discontinue the Site or any portion thereof at any time, with or without notice, and without liability to User. Company further reserves the right to amend these Terms at any time. Any amendments will be reflected on the Site with an updated effective date. User's continued access to or use of the Site following the posting of amended Terms constitutes User's acceptance of and agreement to be bound by such amended Terms.

Section 14. Governing Law and Dispute Resolution

14.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law principles. Users accessing the Site from outside the United States acknowledge that they are contracting with a United States-based operation and agree that the laws of the State of Texas govern any dispute arising hereunder.

14.2 Informal Resolution. Prior to initiating any formal dispute resolution proceeding, the parties agree to attempt to resolve any dispute informally by contacting Company at hello[at]findyourgoodplace.com. If the dispute is not resolved within thirty (30) days of such notice, either party may initiate formal dispute resolution proceedings as set forth herein.

14.3 Arbitration. All claims and disputes arising out of or relating to these Terms or the use of the Site that cannot be resolved informally shall be resolved by binding arbitration on an individual basis. Arbitration shall be conducted by JAMS pursuant to its applicable rules and procedures, by a single neutral arbitrator, and shall take place in Austin, Texas, United States. The award of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.4 Waiver of Class Actions. User agrees that any dispute resolution proceedings shall be conducted on an individual basis only and not as part of any class, collective, or representative action. User hereby waives any right to participate in a class action lawsuit or class-wide arbitration.

14.5 Equitable Relief. Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute by arbitration.

14.6 Jurisdiction for Non-Arbitrable Matters. For any matters not subject to arbitration under these Terms, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Austin, Texas.

Section 15. General Provisions

15.1 Entire Agreement. These Terms, together with the Privacy Policy incorporated herein by reference, constitute the entire agreement between User and Company with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

15.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall remain in full force and effect.

15.3 No Waiver. The failure of Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Company.

15.4 Assignment. User may not assign or transfer any rights or obligations under these Terms without the prior written consent of Company. Company may assign its rights and obligations under these Terms without restriction.

15.5 Force Majeure. Company shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental action, or failure of third-party telecommunications or infrastructure.

15.6 Language. These Terms are executed in the English language, which shall be the controlling language for all purposes. Any translation of these Terms is provided for convenience only and shall have no legal effect.

15.7 Electronic Agreement. User agrees that accessing the Site and using its services constitutes User's electronic acceptance of these Terms, which shall have the same legal force and effect as a written, signed agreement.
